These Terms of Use (“Terms”) govern access to and use of the Firmly website, web application, mobile applications, and related services (collectively, the “Services”).
By accessing or using Firmly, you agree to these Terms. If you do not agree, do not use the Services.
1. About Firmly
Firmly is a legal practice management platform designed for lawyers, law firms, and clients in Nigeria. It provides tools for case management, document handling, billing, client communication, AI-assisted research, and professional web pages.
Firmly is a technology provider. It does not provide legal advice.
2. Eligibility
To use Firmly, you must:
Be at least 18 years old
Have legal capacity to enter a binding agreement
Use the Services in compliance with Nigerian law
Lawyers using Firmly confirm that they are legally qualified to practice law in Nigeria or their relevant jurisdiction.
3. Accounts and Registration
You are responsible for:
Providing accurate and current information
Maintaining the confidentiality of login credentials
All activity carried out under your account
You must notify us immediately of any unauthorized access or security breach.
4. Use of the Services
You agree to use Firmly only for lawful purposes. You must not:
Use the platform to provide illegal or misleading services
Upload unlawful, defamatory, or infringing content
Access data belonging to other users without permission
Attempt to bypass security controls
Reverse engineer or interfere with the platform
5. Lawyers and Clients
5.1 Lawyers
Lawyers and law firms are solely responsible for:
Legal advice provided to clients
Accuracy of documents generated or shared
Client communications and outcomes
Compliance with professional and ethical obligations
Firmly does not supervise or validate legal work.
5.2 Clients
Clients acknowledge that:
Firmly does not replace legal counsel
Legal services are provided directly by lawyers
Firmly is not responsible for lawyer's conduct, fees, or outcomes
6. AI Features Disclaimer
Firmly includes AI-powered tools for research, drafting, and automation. You acknowledge that:
AI outputs are assistive, not authoritative
AI results may contain errors or omissions
Final review and responsibility rest with the lawyer
Firmly does not guarantee the accuracy or legal validity of AI-generated content.
7. Documents and Content
You retain ownership of the content you upload. By using Firmly, you grant us a limited license to store, process, and display your content solely to operate the Services.
You confirm that you have the right to upload all content, including client data and documents.
8. Offline Access
Some features allow offline access and local storage. You are responsible for:
Securing your devices
Protecting offline-stored data
Ensuring devices are not shared with unauthorized persons
Firmly is not responsible for data loss due to device compromise.
9. Payments and Subscriptions
Some features require payment. By subscribing or making in-app purchases, you agree that:
Fees are charged as stated at the time of purchase
Payments are non-refundable unless required by law
We may change pricing with prior notice
Payment processing is handled by third-party providers.
10. Intellectual Property
Firmly and its licensors own all rights in:
Software
Branding
Logos
Platform design
You may not copy, modify, or distribute any part of the Services without written permission.
11. Suspension and Termination
We may suspend or terminate access if you:
Violate these Terms
Misuse the platform
Pose a security or legal risk
You may stop using Firmly at any time. Termination does not affect obligations that should reasonably survive, including payment obligations.
12. Data Protection and Privacy
Use of Firmly is subject to our Privacy Policy. Lawyers confirm they have lawful authority to process client data using the platform. Firmly processes personal data in line with the Nigeria Data Protection Act (NDPA).
13. Disclaimers
Firmly is provided “as is” and “as available”. We do not guarantee that:
The platform will be error-free
Services will be uninterrupted
Data will always be available
To the maximum extent permitted by Nigerian law, we disclaim all implied warranties.
14. Limitation of Liability
To the extent allowed by law:
Firmly is not liable for indirect, incidental, or consequential losses
Firmly is not liable for legal outcomes, disputes, or client relationships
Total liability is limited to the fees paid to Firmly in the preceding 12 months
15. Indemnity
You agree to indemnify Firmly against claims arising from:
Your misuse of the Services
Violation of these Terms
Breach of professional or legal obligations
Content or data you upload
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall be resolved through:
Good-faith negotiation
Failing that, arbitration in Nigeria
Courts of Nigeria shall have exclusive jurisdiction where arbitration is not applicable
17. Changes to These Terms
We may update these Terms from time to time. Continued use of Firmly after updates means you accept the revised Terms.
